Janus Technology provides AI-powered business operations platforms, including:

• Foreman: Automated quoting, invoicing, scheduling, and customer communication for trades and service businesses
• Agent as a Service (AaaS): Customizable AI agent teams for business operations
• Memory Engine: Persistent AI memory systems

2. Account Registration

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activity under your account

3. Acceptable Use

You agree not to use the Services to:

• Send spam, unsolicited messages, or messages in violation of applicable laws (including the TCPA and CAN-SPAM Act)
• Transmit malicious, fraudulent, or deceptive content
• Impersonate another person or entity
• Violate any applicable local, state, national, or international law
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services

4. SMS Communications

If you use our SMS features:

• You are responsible for obtaining proper consent from recipients before sending SMS messages through our platform
• You must comply with all applicable telecommunications regulations, including the Telephone Consumer Protection Act (TCPA)
• You must honor opt-out requests (STOP messages) promptly
• Message frequency will vary based on your configuration and business needs
• Standard message and data rates may apply to recipients
• We reserve the right to suspend SMS capabilities if we detect misuse or non-compliance

5. AI-Generated Content

Our Services use artificial intelligence to generate communications, quotes, and other business content. You acknowledge that:

• AI-generated content may occasionally contain errors or inaccuracies
• You are ultimately responsible for reviewing and approving AI-generated communications sent on your behalf
• We provide tools and guardrails to minimize errors, but perfection is not guaranteed
• AI-generated quotes and pricing are based on rules you configure and are not binding commitments unless you confirm them

6. Payment Terms

• Subscription fees are billed monthly in advance
• Payments are processed securely through Stripe
• You authorize us to charge your payment method on file for recurring subscription fees
• Prices may change with 30 days' notice
• Late payments may result in suspension of Services

7. Data Ownership

• Your data is yours. You retain all ownership rights to your business data, customer information, and content.
• We are granted a limited license to use your data solely to provide and improve the Services
• We do not sell your data to third parties
• Upon termination, you may export your data. We will delete your data within 90 days of account closure.

8. Intellectual Property

The Services, including all software, algorithms, designs, and documentation, are owned by Janus Holding Group LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription period.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JANUS HOLDING GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claim arising from the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold harmless Janus Holding Group LLC from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.

12. Termination

• You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
• We may suspend or terminate your access for violation of these Terms, with notice when practical.
• Upon termination, your right to use the Services ceases. Sections on liability, indemnification, and intellectual property survive termination.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Duval County, Florida.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use of the Services after changes take effect constitutes acceptance.
